Terms of Service

KlientHQ is operated by Deliberate Livin LLC.
Deliberate Livin LLC (\"KlientHQ,\" \"we,\" \"us,\" or \"our\"), a Texas limited liability company operating under the trade name KlientHQ, provides a cloud-based field service management platform, including the websites klienthq.com and app.klienthq.com, mobile applications (if any), and all related services (collectively, the \"Service\"). These Terms of Service (\"Terms\") govern your access to and use of the Service.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
2. Account Registration and Security
You agree to provide accurate, current, and complete information during registration and to update it promptly. You are solely responsible for maintaining the confidentiality of your password and for all activities under your account. Notify us immediately at support@klienthq.com of any unauthorized use. We may suspend or disable accounts at our discretion for security or compliance reasons.
3. Description of the Service
The Service enables job scheduling, client management, team coordination, invoicing via Stripe, multi-channel communications (email/SMS/voice), AI-powered outreach and revenue optimization, public booking pages, and related features. Messaging uses Twilio. We target 99.9% monthly uptime (excluding scheduled maintenance and force majeure). Features may evolve; material changes will be notified.
4. User Content and Messaging Responsibilities
You retain ownership of all content you upload or transmit (\"User Content\"), including end-customer data (names, phones, addresses, signatures). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and use User Content solely to provide the Service.
You are solely responsible for complying with all laws regarding User Content and messages, including:
- Telephone Consumer Protection Act (TCPA): Obtain prior express written consent (with clear disclosures, e.g., \"Msg & data rates may apply\") before sending any promotional/marketing SMS or automated messages. Informational/transactional messages (e.g., reminders, alerts) require appropriate consent.
- CAN-SPAM Act and state equivalents for email.
- CTIA Messaging Principles and carrier guidelines (e.g., no SHAFT content: Sex, Hate, Alcohol, Firearms, Tobacco without restrictions; honor opt-outs immediately).
We provide automated STOP/HELP handling and opt-out tools, but you remain fully liable for fines, claims, damages, or carrier blocks arising from your use. When processing end-customer data, we act as processor/service provider per our Data Processing Addendum (DPA), incorporated herein.
4A. SMS Platform Services — Business Phone Number
When you provision a dedicated business phone number through KlientHQ, that number is issued and operated under KlientHQ's registered A2P 10DLC messaging campaign with Twilio. KlientHQ acts as the SMS platform operator on your behalf. By provisioning a number you agree to the following:
- Customer Consent: You are solely responsible for obtaining prior express written consent from each recipient before sending any marketing or promotional SMS messages. Transactional messages (appointment reminders, job confirmations, payment receipts) require appropriate consent disclosed at the point of collection.
- Opt-Out Compliance: KlientHQ automatically processes STOP, UNSUBSCRIBE, QUIT, CANCEL, and END keywords on your behalf. You must not contact a recipient who has opted out. You must not instruct, configure, or attempt to circumvent opt-out enforcement.
- Prohibited Content: You may not use the business number to send spam, unsolicited messages, content that violates SHAFT guidelines (Sex, Hate, Alcohol, Firearms, Tobacco without applicable legal restrictions), phishing, fraudulent, or illegal content, or any content that violates Twilio's Messaging Policy or applicable carrier guidelines.
- Message Volume and Frequency: You must not send messages at a volume or frequency that violates carrier thresholds or that a reasonable recipient would consider abusive.
- Accurate Identification: Messages must accurately identify your business as the sender. You may not impersonate another business or person.
- Suspension: KlientHQ may suspend or permanently revoke your business phone number without notice if we determine, in our sole discretion, that your messaging violates these terms, applicable law, or carrier requirements. Suspension does not entitle you to a refund of any subscription fees.
You acknowledge that because your number operates under KlientHQ's shared platform campaign, violations by your account may affect KlientHQ's standing with Twilio and carriers, and that KlientHQ may be held responsible. You agree to indemnify KlientHQ for any fines, penalties, or carrier sanctions arising from your messaging conduct (see Section 11).
5. Payments and Subscriptions
Certain features require paid subscriptions (monthly/annual) via Stripe. Pricing is on our pricing page and may change with 30 days' notice (email or in-app). Subscriptions auto-renew. Failed payments trigger a 7-day grace period; suspension follows. Refunds are prorated only for early termination by us without cause or as required by law. No refunds for partial months or voluntary downgrades.
Agent Balance is a separate prepaid dollar balance. It never expires. Canceling your subscription, downgrading, or ending a partial month does not refund unused Agent Balance. A pack bought in the last 14 days can be refunded in full to the card that paid for it only when none of that pack has been used. A pack that has been partly used is not refunded. The $5 starter balance is not refundable. Value moved over from an older balance is not a card refund. Auto top-up turns on when you buy your first paid pack, and the cap equals that pack's price. The $5 starter does not turn auto top-up on. You can turn auto top-up off in one tap. You can also add to the balance yourself at any time.
6. Intellectual Property Rights
The Service, its original content, features (including AI models, excluding User Content), and functionality are owned by us and our licensors. You may not copy, modify, reverse-engineer, decompile, or scrape the Service without written consent.
7. Prohibited Uses
Use the Service only for lawful purposes. Do not:
- Send unsolicited/spam messages or violate TCPA/CAN-SPAM/CTIA
- Upload malware or harmful code
- Impersonate others
- Interfere with Service operation
- Attempt unauthorized access
- Scrape or harvest data without permission
8. Termination
We may suspend or terminate access immediately for breach, including compliance violations. Upon termination, access ceases. You may export data within 30 days per our DPA/Privacy Policy; we may delete it thereafter.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED \"AS IS\" AND \"AS AVAILABLE\" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold harmless Deliberate Livin LLC, its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, User Content, or violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction and venue therein. No class actions or jury trials.
13. Changes to These Terms
We may update these Terms. Material changes will be notified via email or in-app. Continued use constitutes acceptance.
